The Streaming Giant Becomes Frontrunner in Major Hollywood Studio Entertainment Assets Acquisition Bid

High-stakes talks are now underway between Warner Bros Discovery and Netflix for a blockbuster acquisition of its core studio and streaming operations, a development that could profoundly reshape the film and television landscape.

An Intense Competition

Netflix is said to be vying with other major players like a rival studio and the cable giant, which owns significant media properties, for control of the legendary Hollywood institution, the prestigious HBO network, and the Max streaming platform.

Sources indicate Netflix has proposed a hefty breakup fee of $5 billion should the deal not obtain antitrust approval in the US.

The Offer Details

With Warner Bros Discovery shares sitting around about $24 per share, its total market valuation stands at around $60 billion. Reports suggest the bid on the table is between $28 to $30 per share, which suggests a potential deal worth in the neighborhood of $70bn to $75bn.

Industry experts have cautioned that this consolidation could raise significant antitrust concerns, as it would combine two of the largest streaming services in the United States.

Assurances and Corporate Restructuring

In its proposal, Netflix has reportedly given guarantees that the Warner Bros film studio, home to iconic series like Harry Potter and Batman, would continue to enjoy wide theatrical releases.

Before a final agreement, the company is planning to finalize a planned spin-off of its linear TV networks, which include CNN, TBS, and TNT.

A Content Powerhouse

A successful acquisition, Netflix would become the owner of HBO, creator of critically acclaimed hits including Succession, The White Lotus, The Sopranos, and Game of Thrones, along with an extensive library of beloved TV series.

The studio officially began its sale process last fall following overtures by several interested parties.

Industry Concerns

The potential sale has sparked concern. Esteemed director James Cameron, director of Titanic and the Avatar series, stated this week that a sale to Netflix could lead to a "catastrophic loss of enduring worth" for the creative sector.

At first, Paramount Skydance was viewed as the early favorite. It had also offered a $5 billion termination fee contingent on approval issues.

Allegations of an Uneven Playing Field

Recently, Paramount argued in a letter that its bid was the one most poised to gain government approval. Furthermore, the company accused the seller of running an "unfair auction process" that favored its competitor, calling it "compromised" in legal correspondence.

Officials from all companies involved have declined to provide a statement on the current talks.
